1. Who we are and what these Terms cover

These Terms govern your order, placed through our online store at https://www.atpdataservices.com, and receipt of data recovery services and related goods (the "Services") from ATP Data Services LLC, 611 Hundred Oaks Drive STE 140, Edmond, OK 73013, USA ("ATP", "we", "us"). Devices ordered through this store are processed at our US lab in Edmond, Oklahoma. Orders from mainland China are handled through our China site and are not covered by these Terms. For orders placed through this store, ATP Data Services LLC is your contracting party and the sole controller of your data.

By placing an order you confirm that you are of legal age in your country and can form a binding contract. If you order for a company, you confirm that you are authorized to bind it. In that case "you" means the company, and the consumer provisions (Section 12.3, Section 14 and Section 15.3) do not apply.

Our Privacy Policy explains how we handle personal data and is part of these Terms.

2. Where we serve

We accept orders from the United States, the EU, the UK and most other countries. Orders from mainland China are handled by our China site, atpdataservices.cn. We cannot serve embargoed or restricted destinations or parties (see Section 17).

3. How the Service works

  1. Order and estimate. You describe your device online and pay for the evaluation in the currency shown at checkout. After evaluation we send an Evaluation and Recoverability Report with a firm Quote for Service in US dollars. Your quote is valid for 30 calendar days from the date of the report. After that we must re-quote before work can start.
  2. Shipping your device. You send the device to us following our instructions, at your cost and risk until it arrives. You carry the shipping risk on the way in, so please use a tracked and insured service. Please back up any accessible data first if you can.
  3. Where we do the work. All devices ordered through this store, including from EU/UK customers, are shipped to and evaluated and recovered at our US lab, ATP Data Services LLC, Edmond, Oklahoma, USA. Because you choose to send your device to our US lab, transferring your data to the US is necessary to perform the contract you asked for. Our Privacy Policy explains this.
  4. Recovery attempt. We use reasonable skill and care and our standard tools and processes. Not all data can be recovered.
  5. Successful recovery. We tell you the results. We may hold the recovered data until you have paid the amounts due.
  6. Recovered data. We return the data on a storage device of suitable capacity, or by secure download if offered, unless your order says otherwise.
  7. Unsuccessful recovery. If we recover no usable data, you pay no recovery fee. Your device ships back to you as quoted, and the return shipping included in your paid quote is not refunded (see Section 10.4). If you choose secure destruction instead, we refund $25 (the "destruction refund"), as described in our Refund Policy (see Section 10.13). The card processing fee on US orders is never refunded. If we recover only part of the data, we will contact you with options before we charge you. We process refunds within 48 business hours; your payment provider may take up to 10 business days to return the funds.
  • Refund window. If you are not satisfied with your recovery, you may request a full refund of your recovery fees within 30 days of service completion, per the terms of your quote. Return our equipment undamaged with your recovered files, and we will review the drive's data logs. If your files have not been copied or moved to another device, we will refund your recovery fees in full. We cannot issue a refund if recovered files have been copied or moved off our equipment, and items your approved quote marks as not refundable are not included. This does not limit your statutory rights.
  • Original media. By default we return your original device to you. If you ask us in writing before your order closes, we will securely destroy it free of charge instead (see Section 7 and Section 10.13). If you choose destruction after a declined quote, a declined request to open a sealed drive, an unsuccessful recovery, or declined or approved results, or when our evaluation finds your drive cannot be recovered, we also pay the destruction refund (see Section 10.4 and Section 10.13). If we ship your device back to you by mistake after you chose destruction, you still get the destruction refund and do not need to send the device back.
  • Return shipping. Return shipping is not free. If no recovery is paid, return shipping is invoiced at the amount shown on your invoice and must be paid before your device ships. If you approve a recovery quote, return shipping is a line on that quote. See Section 10 and our Shipping Policy. Import duties and taxes at destination are covered in Section 9 and Section 10.7.

4. Your authorization and technician access

You authorize ATP, its employees and its vetted subcontractors to test, evaluate, access, copy, recover and process the data on each device you send. Technicians may open and view files to verify that a recovery worked, and to show you a listing of recovered files in our VeriScan review portal (listing-only; it does not hold file contents). We access your data only to perform the Services, or where the law requires it.

5. Your promises

You confirm that you own the device and data or are authorized by the owner, that the data is lawful, and that you have the right to send it to us and receive it back. You also confirm that the data is not controlled under export rules (for example, the U.S. ITAR) or a defense security program, unless we agree otherwise in writing.

If you are a consumer, you are responsible only for losses that your breach of these promises caused and that were reasonably foreseeable. Business customers will indemnify ATP against third-party claims arising from a breach of these promises.

6. Confidentiality and data security

We keep your data confidential. We protect it with at least the care we use for our own confidential information, and never less than reasonable care. We do not sell your data, and we do not use its contents for any purpose other than the Services. We keep a written security policy with administrative, technical and physical safeguards. We cannot guarantee security while devices are in transit with carriers, so please encrypt data that is subject to special legal protection where you can.

7. Retention, return and secure destruction

  • Recovered data copies. We keep our copy of your recovered data for 30 days after your order is closed, then securely delete it. If the return media is lost in transit, we make one free replacement copy if you tell us within those 30 days. After that, a new copy needs a new recovery (see Section 10.12).
  • Original devices. By default we return your original device to you. A declined quote, a declined request to open a sealed drive, declined results, an unsuccessful recovery or an evaluation that finds your drive cannot be recovered does not lead to destruction, except where an order with unpaid return shipping is treated as abandoned under Section 10.4. If you ask us in writing before your order closes, we securely destroy the device free of charge instead of returning it. If you choose destruction after a declined quote, a declined request to open a sealed drive, an unsuccessful recovery, or declined or approved results, or when our evaluation finds your drive cannot be recovered, we also pay the destruction refund. If you asked for destruction and approved your results, we hold the original for 30 days after the order closes before destroying it; in other cases we destroy it when the order closes. We email you a certificate of destruction.
  • Abandoned orders. If we are waiting on you (for example, to answer a quote, approve opening a sealed drive, review your results, pay a return shipping invoice, or give us a correct address), we email you a reminder after 15 days, a written notice after 30 days (any amount you owe, your options and the date after which we may dispose of your device) and a final email after 37 days. Time we spend working on your order never counts, and the count starts over whenever you reply. No earlier than 60 days after we started waiting (3 months for customers in the United Kingdom who owe us money), we return your original device by default. We ship once return shipping is paid or already included in a quote you paid. If your return shipping is unpaid, we may instead securely destroy the device and email you a certificate of destruction, with no destruction refund (see Section 10.4). Abandoned orders (no payment or choice from you after the reminder period) get no destruction refund. The evaluation fee you paid at checkout does not count as return shipping, and return shipping included in a quote you paid counts as paid. We pause these steps while a payment dispute is open.
  • Undeliverable returns. If a return shipment cannot be delivered and comes back to us, we contact you for an updated address. If the return failed because of our error, for example we used the wrong address, we pay for the new shipment. If it failed because the address you gave us was wrong or incomplete, or because it was refused, unclaimed, or held for unpaid customs charges, you pay for the new shipment. This applies inside and outside the United States. The schedule above starts again from the day the package is back at our lab: a reminder after 15 days, a written notice by email after 30 days and a final email after 37 days. We reship once we have a valid address and any reship charge is paid. If we cannot get a valid address from you, wherever you are, or if your return shipping is unpaid, then no earlier than 60 days after the package came back (3 months for customers in the United Kingdom who owe us money) we may securely destroy the device under NIST SP 800-88, email you a certificate of destruction, and delete any recovered copy (see Section 10.8). The destruction refund does not apply in this case.
  • Closed orders. Once an order is closed, it cannot be reopened. If you did not ask for destruction before it closed, your original device is returned to you, and the destruction refund is no longer available. If you did ask for destruction before it closed and we returned the device by mistake, we still pay the destruction refund and do not ask for the device back. Any further work needs a new order.
  • Destruction follows our secure erase policy, which meets NIST SP 800-88 (degaussing and physical destruction for hard drives). Any vendor we use must destroy data securely and act only on our instructions. We email you a certificate of destruction when we destroy a device at your request.

8. Prices, fees and payment

  • Prices are quoted and charged in the currency shown at checkout: euros (EUR) for customers in the European Union, British pounds (GBP) for customers in the United Kingdom, and US dollars (USD) for all other customers. Return shipping invoices are always issued in US dollars (USD), on every store. Recovery quotes are issued in US dollars unless your quote states otherwise. Your bank or card issuer may apply its own currency conversion fees.
  • We take payment by card, PayPal or other payment methods shown at checkout, through our payment processors. We never see or store your full card number.
  • Fees. Prices are as shown at checkout or on your quote. US evaluations include a card processing fee, shown at checkout, which is never refunded.
  • By ordering, you authorize us to charge the amount shown, or the estimate you approve, when it becomes due under Section 3.

9. Customs, duties and taxes

Our prices do not include customs duties, import VAT, GST or other taxes. If any customs, duty, import VAT or taxes are owed when your returned drive or recovered data arrives in your country, you are responsible for paying them. You are the importer of record for the return shipment. Your carrier or the local customs office may ask you to pay these charges before delivery. Brokerage or customs clearance fees charged by your carrier are also your responsibility.

10. Shipping, Returns of Media, and Data Retention

  1. Shipping Policy. Shipment of devices and media to and from ATP Data Services LLC ("ATP") is governed by ATP's Shipping Policy, available at https://atpdataservices.com/seagate/shipping-policy/ (the "Shipping Policy"), which is incorporated into these Terms and Conditions by reference. If the Shipping Policy and these Terms conflict, these Terms control.
  2. Inbound shipments. The customer ships devices to ATP at the customer's own cost and risk. Risk of loss or damage in transit remains with the customer until ATP receives the shipment at its facility. If ATP asks the customer to send a device or drive back because of ATP's error, ATP will provide customers within the United States with a prepaid shipping label. ATP does not provide prepaid labels for shipments from outside the United States. An international customer ships the item at the customer's own cost, including freight, customs and duties, and ATP will refund those receipted costs once the service is complete.
  3. Return shipping charges and currency. Return shipping is never free, and it is never taken out of a refund. Return shipping is always invoiced in US dollars (USD), on every store. On an approved quote, return shipping is a line on the quote. In all other cases it is invoiced and must be paid before the device ships, as set out below.
  4. Declined, unrecoverable, canceled or unsuccessful orders. If the recovery is unsuccessful or the customer declines the recovered results, the return shipping included in the customer's paid quote is not refundable, and ATP will return the device as quoted without any further shipping charge. If the customer approves the recovered results, the return shipping included in the customer's paid quote also covers the return of the original device, and ATP will not charge return shipping again. If the customer declines ATP's quote, declines ATP's request to open a sealed drive or sealed enclosure, ATP's evaluation finds that the device cannot be recovered, or the order is canceled, the customer may choose either to have the device returned or to have ATP securely destroy it. ATP will invoice the customer for return shipping, at the amount shown on the invoice, after the decline or the finding that the device cannot be recovered, and will ship only after the invoice is paid. Import duties and taxes remain the customer's responsibility under Section 10.7. In each case described in this clause, a customer within or outside the United States who elects secure destruction before the order closes pays nothing further, and ATP will pay the destruction refund under Section 10.13, except that for a canceled order, ATP will refund the evaluation fee less the card processing fee on US orders, which is never refunded. If ATP is waiting on payment or an election from the customer, ATP will send a reminder by email 15 days after its invoice, a written notice by email 30 days after its invoice stating the amount owed, the customer's options and the disposal date, and a final email 37 days after its invoice. If ATP receives no payment or election, ATP may, no earlier than 60 days after its invoice (3 months for customers in the United Kingdom who owe money to ATP), treat the order as abandoned and securely destroy the device under Section 10.13, and no destruction refund will be due. Any reply from the customer restarts this schedule. ATP will suspend these steps while a charge is disputed.
  5. Carriers and service. ATP returns shipments by a tracked service, as described in the Shipping Policy, unless otherwise agreed in writing.
  6. Delivery information. The customer must provide a complete and accurate delivery address and a working phone number. ATP ships to the address provided by the customer and is not responsible for loss, delay, or additional cost resulting from incomplete or inaccurate delivery information.
  7. International shipments. International return shipments are sent DAP (duties not prepaid). The customer is solely responsible for all import duties, VAT, taxes, brokerage, and customs fees assessed in the destination country.
  8. Undelivered shipments. If a return shipment is returned to ATP undelivered because of ATP's error, including an incorrect address used by ATP, ATP will reship at no charge. If a return shipment is returned undelivered for any reason not caused by ATP, including an incorrect or incomplete address supplied by the customer, refusal, failure to claim, or non-payment of customs charges, the customer must pay the cost of any further shipment, and ATP will invoice the customer for that shipment and will reship only after the invoice is paid. This applies equally to destinations within and outside the United States. When an undelivered shipment is received back at ATP's lab, ATP will contact the customer for an updated address, and the notice schedule restarts from that date: ATP will send a reminder by email 15 days later, a written notice by email 30 days later stating any amount owed, the customer's options and the disposal date, and a final email 37 days later. ATP will reship once it has a valid address and any charge for the further shipment is paid. If ATP cannot obtain a valid address from the customer, whether the customer is in the United States or elsewhere, the shipment is treated as abandoned under Section 10.4, and after the full notice schedule, no earlier than 60 days after the shipment was received back (3 months for customers in the United Kingdom who owe money to ATP), ATP may securely destroy the device and provide a certificate of destruction. If return shipping is unpaid, ATP may, no earlier than 60 days after the shipment was received back (3 months for customers in the United Kingdom who owe money to ATP), securely destroy the device and delete any recovered data, and the customer releases ATP from any liability for that destruction.
  9. No recall after shipment. Once an order is closed and the shipment has been tendered to the carrier, ATP will not recall, stop, or redirect the shipment.
  10. Delivery times. Delivery times are carrier estimates only and are not guaranteed. ATP is not liable for delays caused by carriers, customs authorities, or events outside ATP's reasonable control.
  11. Insurance. Return shipments are insured by ATP for ATP's benefit. Insurance covers the value of the physical device only and does not cover the value of any data. The customer is not entitled to any insurance payout for a lost or damaged shipment. If recovered data is lost or damaged in transit, the customer's sole remedy is a free recopy within the retention period described in Section 10.12.
  12. Data retention. ATP retains its copy of the customer's recovered data for thirty (30) days after the order is closed and then securely deletes it. If the return media containing the recovered data is lost in transit, ATP will provide one replacement copy at no charge, provided the customer notifies ATP within that thirty (30) day period. After deletion, any further copy requires a new recovery under a new service order at ATP's then-current rates. After delivery, you are responsible for keeping your own backup of your recovered data and for recording any password we set on your return drive. Beyond the free recopy described above, we do not keep your data or passwords after your order is closed and its retention period ends, and we cannot recover them later.
  13. Disposition of original media. The customer may elect secure destruction of the original device at no charge, instead of its return, by notifying ATP in writing before the order closes. If the customer elects destruction after declining ATP's quote, declining ATP's request to open a sealed drive or sealed enclosure, declining or approving the recovered results, after an unsuccessful recovery, or after ATP's evaluation finds that the device cannot be recovered, ATP will refund $25 (the "destruction refund"), whether the customer is within or outside the United States. For an order canceled before ATP receives the device, ATP will refund the evaluation fee less the card processing fee on US orders, which is never refunded. For an order canceled after ATP receives the device, ATP will refund the evaluation fee less the card processing fee on US orders, which is never refunded. If the customer chooses a return, return shipping is invoiced and must be paid before the device ships. If the customer elects secure destruction instead, no return shipping is charged. No destruction refund applies in any other case, including an undelivered shipment under Section 10.8, or an order treated as abandoned under Section 10.4. If the customer elected destruction in a case that qualifies for the destruction refund, but ATP returns the device to the customer by mistake, ATP will still pay the destruction refund and will not require the customer to send the device back. Once an order is closed it will not be reopened. If the customer has not elected destruction before the order closes, the original device will be returned to the customer, and no destruction refund is available after the order closes. If the customer makes no election, ATP will return the original device to the customer, subject to Section 10.4 for declines, unrecoverable evaluations and canceled orders.

11. Results and warranties

Data recovery has no guaranteed outcome. Recovery work can further damage a failing device or make data unrecoverable, and recovered files may be incomplete or corrupted. We promise to perform the Services with reasonable skill and care. Apart from that promise and any rights the law gives you that cannot be excluded, we provide the Services as is. We disclaim implied warranties of merchantability, fitness for a particular purpose and accuracy, to the extent the law allows.

12. Limitation of liability

  1. What we never limit. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, for gross negligence or willful misconduct, or for anything else the law does not allow us to limit. It also does not affect consumers' statutory rights.
  2. Business customers. To the extent the law allows, we are not liable for lost profits, revenue, business or data value, or for indirect or consequential losses. Our total liability is capped at the amount you paid for the Services concerned.
  3. Consumers. We are responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable skill and care. We are not responsible for loss that was not foreseeable, for losses caused by the device's existing condition, or for business losses. Because the Services involve already damaged media, the parties expect that any claim will usually be limited to the price paid. This expectation does not reduce rights you have under mandatory law.
  4. We are not responsible for the cost of third-party recovery attempts.

13. Remedies

If the Services are not performed with reasonable skill and care, we will, at your choice where the law gives you the choice, try the recovery again or refund the amount you paid for the affected Service. The card processing fee on US orders and any items your approved quote marks as not refundable are excluded, except where mandatory law requires otherwise.

14. Right of withdrawal (EU/UK consumers)

If you are a consumer in the EU or UK, you may withdraw from this contract within 14 days of the day we confirm your order, without giving a reason.

  • Starting early. We will not start work during the 14 days unless you expressly ask us to, by ticking the required box at checkout. EU and UK customers cannot place an order without ticking it. By ticking it, you ask us to start immediately and you acknowledge that you lose your right to withdraw once the work is complete.
  • If you withdraw after work starts. If you asked us to start and then withdraw within the 14 days, you pay an amount in proportion to the work done before you told us.
  • Losing the right. You lose the right to withdraw once we have fully performed the Service, if you asked us to start early and acknowledged that you would lose the right on full performance.
  • Goods. For goods such as a storage device, the 14 days run from delivery. You pay the cost of returning them, unless we agree otherwise.
  • How to withdraw. Send a clear statement to support@atpdataservices.com or to our postal address. You may use the model form in Annex A, but you do not have to.
  • Refunds. We refund amounts due within 14 days of receiving your notice, using the payment method you used.
  • Your device. If you withdraw, we return your device by a standard service. Return shipping is at your cost, unless the law says otherwise.

15. Governing law and disputes

  1. Talk to us first. Contact support@atpdataservices.com and we will try to resolve the issue within 30 days.
  2. US customers. These Terms are governed by the laws of the State of Oklahoma and U.S. federal law. Disputes are resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Rules (for consumers) or Commercial Rules (for businesses), seated in Oklahoma County, Oklahoma (Oklahoma City). Either party may instead bring an individual claim in small claims court. To the extent the law allows, you and we waive any right to a jury trial and to class or collective actions. You may opt out of this arbitration agreement by emailing support@atpdataservices.com within 30 days of your purchase. If you opt out, disputes are resolved in the state or federal courts located in Oklahoma County, Oklahoma.
  3. EU and UK consumers. These Terms are governed by the laws of the State of Oklahoma. You keep the protection of the mandatory laws of your country of residence. You may bring proceedings in the courts of your country of residence. The arbitration, jury waiver and class waiver in point 2 do not apply to you. EU consumers may also use national ADR bodies.
  4. Other countries and all business customers outside the US. Oklahoma law governs, subject to any mandatory local consumer law. Disputes are resolved by binding arbitration administered by the American Arbitration Association (through its International Centre for Dispute Resolution where the rules require it), seated in Oklahoma County, Oklahoma, in English.

16. Your account and communications

We send order updates by email. Keep your contact details current. Protect your login, and tell us promptly about any unauthorized use. We may suspend accounts that are used unlawfully or abusively.

17. Export control and sanctions

The Services may be subject to U.S., EU and UK export control and sanctions laws. We do not provide the Services to, or receive devices from:

  • comprehensively sanctioned destinations, currently including Cuba, Iran, North Korea, Syria, Russia, and the Crimea, Donetsk and Luhansk regions of Ukraine;
  • restricted parties on the U.S. Consolidated Screening List (https://www.trade.gov/consolidated-screening-list) or on the EU/UK sanctions lists;
  • prohibited end uses (15 CFR Part 744).

You confirm that none of these apply to you. We may refuse or stop Services, or withhold the return of a device, where these laws require it.

18. General

We may update these Terms. The version in force when you order applies to that order. These Terms apply to the extent permitted by applicable law. If a court or arbitrator finds any part of these Terms invalid or unenforceable, that part will be limited or changed only as much as needed to make it enforceable, and the rest of these Terms stays in force. You may not transfer your rights under these Terms without our consent. Nothing in these Terms limits rights you have under law that cannot be changed by contract.
